Terms of Referral

These Terms of Referral govern the referral program made available by Nepse Lightning Pvt. Ltd. ("Nepse Lightning", "we", "our", or "us"). By using a referral code, sharing a referral link, or participating in the referral program in any way, you agree to these terms.

Program Overview

Nepse Lightning may display referral progress and internal promotional units within your account. Under the current program structure, each eligible referral may add 10 units to your NL Virtual Equity balance.

A referral becomes eligible only after the referred person both registers on the platform and successfully completes KYC verification approved by Nepse Lightning. Registration alone does not qualify for referral credit.

Meaning of NL Virtual Equity

NL Virtual Equity is currently a promotional, internal, and informational unit used by Nepse Lightning to track referral participation. It is not actual equity, not a share certificate, not a security, not a token, not a deposit, and not a promise of ownership in Nepse Lightning or any affiliated entity.

NL Virtual Equity may be considered by the company in the future if the platform performs exceptionally well and if Nepse Lightning decides, in its sole discretion, to introduce a future benefit, equity-linked reward, or another recognition framework. There is no commitment, guarantee, obligation, or binding promise by the company at this time to convert NL Virtual Equity into real equity, shares, money, dividends, profit participation, or any other asset or right.

No Current Commitment by the Company

The referral program is promotional only. Nothing shown on the platform, including any NL Virtual Equity balance, should be interpreted as a commitment by Nepse Lightning to issue shares, securities, options, vested rights, cash rewards, or any legally enforceable benefit.

Nepse Lightning may suspend, revise, interpret, cap, replace, or terminate the referral program at any time, with or without prior notice, to the extent permitted by applicable law.

Eligibility for Referral Credit

• Each eligible referral currently adds 10 units to the referrer's NL Virtual Equity balance.
• Referral credit is awarded only after the referred user registers and is KYC approved.
• The referred user must be a genuine new user and must not be the same person as the referrer.
• Referral credit may be denied, reversed, or removed if the registration or KYC process is incomplete, rejected, fraudulent, duplicated, abusive, or otherwise non-compliant.
• Nepse Lightning's records and internal determination will control in the event of any mismatch, dispute, or technical issue.

Prohibited Conduct

You must not misuse the referral program. Prohibited conduct includes, without limitation:

• Self-referrals or attempts to create duplicate, fake, or misleading accounts.
• Using false identities, temporary credentials, or manipulated KYC submissions.
• Spamming, mass unsolicited promotions, or misleading statements about Nepse Lightning or the referral program.
• Representing that NL Virtual Equity is guaranteed future equity, guaranteed money, or an approved investment product.

If we reasonably suspect abuse, fraud, misrepresentation, or any attempt to game the program, we may cancel referral credit, suspend accounts, remove balances, or take other action permitted under our platform terms and applicable law.

No Transfer, Cash Value, or Withdrawal Right

NL Virtual Equity is personal to the account holder and may not be sold, assigned, transferred, pledged, exchanged, withdrawn, or redeemed for cash unless Nepse Lightning expressly launches a future program stating otherwise in writing.

NL Virtual Equity has no present cash value and should not be recorded, marketed, pledged, or treated as an owned financial asset.

Taxes, Legal, and Regulatory Considerations

If Nepse Lightning ever introduces any future reward or benefit connected to referral activity, the structure, timing, conditions, and legal availability of that benefit may depend on company approvals, commercial performance, legal documentation, tax treatment, and compliance with applicable laws and regulations. Users remain responsible for obtaining their own legal, tax, and financial advice.

Platform Discretion and Interpretation

Nepse Lightning reserves the right to determine referral eligibility, investigate suspicious activity, correct errors, and interpret these Terms of Referral in good faith. We may adjust displayed balances to fix operational, technical, compliance, or fraud-related issues.

Relationship Disclaimer

Participation in the referral program does not create any shareholder relationship, partnership, agency, fiduciary duty, employment relationship, or joint venture between you and Nepse Lightning.

Changes to These Terms

We may update these Terms of Referral from time to time. Your continued participation in the referral program after any update constitutes acceptance of the revised terms.
